BRAMPTON, Ontario--(BUSINESS WIRE)--DATA Communications Management Corp. (“DCM” or the “Corporation”) (TSX: DCM) today announced that the annual and special meeting (the “Meeting”) of the shareholders of the Corporation was held on June 26, 2020 in Brampton, Ontario. 36 shareholders holding a total of 26,652,508 common shares of the Corporation (“Common Shares”) were represented at the Meeting in person or by proxy, representing approximately 61.91% of the total votes attached to all issued and outstanding Common Shares as of May 19, 2020, the record date for the Meeting.
Appointment of Auditors
The resolution to appoint PricewaterhouseCoopers LLP, Chartered Accountants, as auditors of the Corporation, to hold office until the next annual meeting of shareholders of the Corporation or until their successors are appointed and to authorize the directors to fix the auditors’ remuneration, was adopted on a vote by show of hands by a majority of the votes cast by the shareholders present in person or represented by proxy at the Meeting. Revocation of the Preferred Share Resolution
Prior to the Meeting, the board of directors of the Corporation elected to revoke the special resolution related to the proposed creation of a new class of preferred shares of the Corporation (the “Preferred Share Resolution”). As a result, the Preferred Share Resolution was not voted on at the Meeting.
